These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and FansTraffic.ai (“we”, “us”, “our”, or the “Company”). These Terms govern your access to and use of our website at fanstraffic.ai (the “Website”), our AI-powered services for generating, optimizing, and directing targeted traffic to fan-based subscription platforms (the “Services”), and any associated APIs, dashboards, tools, or integrations.

By accessing, registering for, or using the Services you agree to be bound by these Terms and our Privacy Policy (incorporated herein). If you do not agree, stop using the Services immediately.

1. Definitions and Interpretation

Capitalized terms used in these Terms have the meanings assigned in this section unless the context requires otherwise.

Account: The user profile created on the Platform.
Campaign: Any AI-driven traffic initiative to route users to your specified fan links.
Content: Any data, URLs, prompts, metadata, or materials you submit for use in the Services.
Deposits: Funds you transfer to the Company to fund Campaigns or access premium features.
Platform: The Website, Services, and related backend infrastructure.
Seller: A User using the Services to drive traffic to their fan platforms.
Payouts: Disbursements (if applicable) from the Company to Sellers, subject to conditions herein.

2. Eligibility and Account Registration

To use the Services you must be at least 18 years old (or the age of majority in your jurisdiction), not be prohibited from using the Services under applicable law, and provide accurate registration information. You are responsible for maintaining your Account security.

3. Description of Services

The Services leverage proprietary AI technologies to analyze inputs, predict engagement, and direct traffic to designated fan platforms. We make no guaranteed representations about availability, uptime, or performance.

4. User Obligations and Conduct

You agree to use the Services lawfully, not submit infringing or illegal Content, not attempt to hack or reverse-engineer the Services, and to promptly report security issues. Prohibited conduct (e.g., scraping, malware distribution) may lead to termination and legal action.

5. Payments, Deposits, Refunds, and Withdrawals

Payments are processed through secure third-party providers. Deposits are irrevocable and non-refundable, applied to Campaign funding, and may be forfeited after inactivity. No refunds or withdrawals are permitted; deposited funds become the Company’s property upon receipt.

6. Seller Payouts and Processing

If Payouts apply (e.g., affiliate programs), they are subject to verification, minimum thresholds, processing times, and potential fees. We may withhold or deny Payouts for fraud or compliance reasons.

7. Campaign Management and Control

We retain control over Campaign initiation, optimization, suspension, and termination. You grant us a license to use your Content for Service provision and analytics. We do not guarantee Campaign outcomes.

8. Intellectual Property Rights

All rights to the Services (models, algorithms, trademarks, copyrights) are owned by us or licensors. You receive a limited license to use the Services; unauthorized use may result in enforcement actions.

9. Representations and Warranties

You represent that your Content is original and lawful and that you have authority to enter these Terms. The Services are provided “AS IS” without warranties.

10. Disclaimers and Limitations of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages. Our total liability is capped at the amount of Deposits you paid in the preceding six months. We disclaim liability for third-party actions and external factors affecting results.

11. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from claims, losses, and expenses arising from your use of the Services or violation of these Terms.

12. Termination and Suspension

We may terminate or suspend Accounts immediately for breaches or at our discretion, without notice or refund. Surviving provisions include payment, IP, indemnity, and liability sections.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of law principles.

14. Dispute Resolution and Arbitration

Disputes shall be resolved by binding arbitration under AAA rules (unless excluded), with class actions waived.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including cyberattacks, natural disasters, or regulatory changes.

16. Severability and Waiver

If any provision is invalid, the remainder remains enforceable. No waiver of a breach is a waiver of subsequent breaches.

17. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Services.

18. Notices and Communications

Notices to you may be sent by email to your registered address or posted on the Website. You consent to electronic communications.

19. Changes to These Terms

We may amend these Terms at any time; continued use of the Services constitutes acceptance of changes.
